Shopware 5 ist dual lizenziert. Die Endnutzer-Lizenzbestimmungen („EULA“) für die Professional-, Enterprise Business und Enterprise Cluster-Editionen finden Sie unter I., die GNU Affero General Public License („AGPLv3“) für die Community-Edition finden Sie unter II.
I. Endnutzer-Lizenzbestimmungen („EULA“)
1. Geltungsbereich
Diese Endnutzer-Lizenzbestimmungen („EULA“) gelten für Verträge, durch die ein Unternehmer („Kunde“) shopware 5 von der shopware AG als Professional-, Enterprise Business oder Enterprise Cluster-Edition erwirbt. Die Verträge werden im Folgenden in Professional-, Enterprise Business- oder Enterprise Cluster-Vertrag unterschieden.
2. Leistungsgegenstand
2.1. Gegenstand des Professional-, Enterprise Business- oder des Enterprise Cluster-Vertrags ist shopware 5 („Basis-Produkt“). Shopware 5 ist eine Shopsoftware. Sie ist ein Standard-Shopsystem, das zum Betrieb eines Onlineshops konzipiert ist. Mit ihm kann der Kunde seinen eigenen Onlineshop umsetzen.
2.2. Das Basis-Produkt wird als Open Source Software in der Community-Edition sowie proprietär in den Editionen Professional, Enterprise Business und Enterprise Cluster angeboten. Gegenstand dieser EULAs sind allein die proprietären Editionen Professional, Enterprise Business und Enterprise Cluster. Die Lizenzbedingungen der Community-Edition finden sich unter II.
2.3. Professional-Vertrag
Leistungsgegenstand des Professional-Vertrags sind das Basis-Produkt und die Erbringung von Support-Leistungen für dieses Produkt in der Support-Kategorie Silver für die Dauer von sechs Monate. Die Regelung der Supportleistungen finden Sie unter http://www.shopware.de/shopware-supportuebersicht/?sCategory=385.
2.4. Enterprise Business-Vertrag
Leistungsgegenstand des Enterprise Business-Vertrags sind das Basis-Produkt sowie alle Shopware-Premium-Plugins der shopware AG („Premium-Plugins“). Neben dem Basis-Produkt und den Premium Plugins werden dem Kunden für sechs Monate Support-Leistungen für diese Produkte in der Support-Kategorie Silver zur Verfügung gestellt. 2.5. Enterprise Cluster-Vertrag
Leistungsgegenstand des Enterprise Cluster-Vertrags sind das Basis-Produkt sowie alle Shopware-Premium-Plugins der shopware AG („Shopware-Premium-Plugins“). Neben dem Basis-Produkt und den Shopware-Premium-Plugins erhält der Kunde aufgrund des zugleich abgeschlossenen Support-Vertrags Support-Leistungen für diese Produkte in der Support-Kategorie Diamond. Die Regelung der Supportleistungen finden Sie unter http://www.shopware.de/shopware-supportuebersicht/?sCategory=385.
2.6. Shopware Premium-Plugins sind Erweiterungen des Basis-Produkts. Eine Liste der Erweiterungen finden Sie unter http://www.shopware.de/die-shopsoftware/versionsvergleich/.
3. Vergütung
Es gelten die sich aus der Preisliste zum Zeitpunkt des Vertragsschlusses ergebenden Preise. Alle Preise verstehen sich als Netto-Preise. Die Preisliste ist unter http://www.shopware.de/die-shopsoftware/ueberblick/preisliste/ einsehbar.
4. Nutzungsrecht zum Betrieb von Onlineshops
4.1. Das Basis-Produkt und die Shopware Premium-Plugins sind urheberrechtlich geschützt.
4.2. Die shopware AG räumt dem Kunden das einfache, nicht ausschließliche Recht, mit dem Basis-Produkt und – soweit vom Vertrag erfasst – den Shopware Premium-Plugins auf Dauer eine dem jeweiligen Vertrag entsprechende Anzahl von Onlineshops zu betreiben.
4.3. Anzahl der Onlineshops
4.3.1. Professional- Vertrag
Die shopware AG räumt dem Kunden das einfache, nicht ausschließliche Recht ein, mit dem Basis-Produkt auf Dauer einen Onlineshop zu betreiben und das Basis-Produkt im dazu erforderlichen Umfang auf einem Web- oder Datenbankserver zu installieren, es ablaufen zu lassen und zu diesen Zwecken zu vervielfältigen. Die Rechte werden pro Vertrag allein für die Nutzung auf einem Web- oder Datenbank-Server eingeräumt. Die Nutzung der Software zum Betrieb eines weiteren Onlineshops bedarf der erneuten und weiteren Einräumung von Nutzungsrechten durch die shopware AG („Erweiterung durch Shopware Premium Plugin; Subshop“).
4.3.2. Enterprise Business- Vertrag
Die shopware AG räumt dem Kunden das einfache, nicht ausschließliche Recht ein, mit dem Basis-Produkt und den Shopware Premium-Plugins auf Dauer im Produktiv- und im Testbetrieb jeweils einen Onlineshop zu betreiben und das Basis-Produkt und die Shopware Premium-Plugins im dazu erforderlichen Umfang für den Produktiv- und den Testbetrieb auf jeweils einem Web- oder Datenbankserver zu installieren, sie ablaufen zu lassen und zu diesen Zwecken zu vervielfältigen. Die Rechte werden pro Vertrag für die Nutzung auf jeweils einem Web- oder Datenbank-Server eingeräumt. Die Nutzung der Software zum Betrieb eines weiteren Onlineshops bedarf sowohl für dessen Test- als auch für dessen Produktivbetrieb der erneuten und weiteren Einräumung von Nutzungsrechten durch die shopware AG („Erweiterung durch Shopware Premium Plugin; Subshop“).
4.3.3. Enterprise Cluster-Vertrag
4.3.3.1. Die shopware AG räumt dem Kunden das einfache, nicht ausschließliche Recht ein, mit dem Basis-Produkt und den Shopware Premium-Plugins auf Dauer im Produktiv- und im Testbetrieb Onlineshops zu betreiben und das Basis-Produkt und die Shopware Premium-Plugins im dazu erforderlichen Umfang für den Produktiv- und den Testbetrieb auf Web- oder Datenbankserver zu installieren, sie ablaufen zu lassen und zu diesen Zwecken zu vervielfältigen. Die Rechte werden pro Vertrag allein für die Nutzung auf der im Vertrag vereinbarten Anzahl von Web- oder Datenbank-Servern bzw. der vereinbarten Anzahl der zu betreibenden Onlineshops jeweils für den Produktiv- und den Testbetrieb eingeräumt.
Enthält der Vertrag keine gesonderte Vereinbarung hinsichtlich der Anzahl von Web- oder Datenbankservern bzw. der Anzahl der zu betreibenden Onlineshops, dürfen Basis-Produkt und Shopware Premium-Plugins auf bis zu zwei Web- oder Datenbankservern genutzt werden.
4.3.3.2. Die Anzahl der Web- und Datenbank-Server, auf der der Kunde das Basis-Produkt und die Shopware Premium-Plugins nutzen darf, kann nachträglich durch vertragliche Vereinbarung erhöht werden („erweiterte Nutzung“). Die erweiterte Nutzung wird auf Anfrage des Kunden nachträglich vereinbart. Auf die Anfrage des Kunden sendet die shopware AG dem Kunden ein Angebot. Das Angebot legt entsprechend der Preisliste (siehe Ziffer 3) insbesondere fest, welche Vergütung für die erweiterte Nutzung zu zahlen ist. Mit dem Angebot räumt die shopware AG dem Kunden die Rechte gem. Ziffer 4.3.3.1. unter der Bedingung der Zahlung der Vergütung ein. Der Kunde nimmt das Angebot durch Zahlung der Vergütung an.
4.3.3.3. Werden das Basis-Produkt oder die Shopware Premium-Plugins auf mehr als der vereinbarten Anzahl von Web- oder Datenbank-Servern entgegen der Ziffern 4.3.3.1., 4.3.3.2. genutzt, hat der Kunde der shopware AG die über die erlaubte Nutzung hinausgehende Nutzung gesondert zu vergüten, wie wenn ein Vertrag über die Nutzung der Software auf der Anzahl der Web- und Datenbank-Server geschlossen worden wäre, auf der die Produkte tatsächlich genutzt werden. Die Höhe der Vergütung richtet sich nach der Preisliste sowie der Anzahl der Web- und Datenbank-Server, auf denen die Produkte über das gem. Ziffern 4.3.3.1., 4.3.3.2. Erlaubte hinaus genutzt werden. Die Preisliste ist unter http://www.shopware.de/die-shopsoftware/ueberblick/preisliste/ abrufbar. Die shopware AG stellt dem Kunden eine Rechnung über die zu zahlende Vergütung.
Die Geltendmachung weiterer Ansprüche bleibt unberührt.
4.4. Der Kunde kann das Basis-Produkt nutzen, sobald er es von der Webseite der shopware AG heruntergeladen und mittels der ihm mitgeteilten Lizenzschlüssels freigeschaltet hat. Die Lizenzschlüssel werden dem Kunden mitgeteilt, sobald die shopware AG die Vergütung erhalten hat. Die Anzahl der dem Kunden mitgeteilten Lizenzschlüssel entspricht der Anzahl der Web- und Datenbankserver, auf denen der Kunde das Basis-Produkt nutzen darf. Die Mitteilung der Lizenzschlüssel erfolgt in Abhängigkeit davon, auf welchem Weg der Kunde das Produkt erworben hat entweder via E-Mail, über den shopware Store oder über Vertriebspartner der shopware AG. Sofern dem Kunden keine Kopie des Basis-Produkts zur Verfügung gestellt wird, erhält der Kunde mit dem Lizenzschlüssel eine Anweisung, wie und wo das Basis-Produkt heruntergeladen werden kann.
4.5. Das Basis-Produkt kann unter http://wiki.shopware.de/Downloads_cat_448.html heruntergeladen werden.
4.6. Sind nach Ziffer 2 auch Shopware Premium-Plugins Vertragsgegenstand, so werden dem Kunden mit dem Lizenzschlüssel für das Basis-Produkt die Lizenzschlüssel für alle Shopware Premium-Plugins mitgeteilt, die neben dem Basis-Produkt gem. Ziffer 2 Vertragsgegenstand sind. Gleichzeitig erhält der Kunde eine Anleitung, wo die Shopware Premium-Plugins heruntergeladen werden können und wie sie zu installieren sind. Die Shopware Premium-Plugins müssen zusätzlich zum Basis-Produkt heruntergeladen und mittels des Lizenzschlüssels freigeschaltet werden, um verwendet werden zu können.
5. Bearbeitungsrecht
Die shopware AG räumt dem Kunden das Recht ein, das Basis-Produkt und Shopware Premium-Plugins beliebig zu verändern, um sie den Bedürfnissen seines Onlineshops anzupassen, insbesondere indem er im Front-End mit der Template-Sprache Smarty Anpassungen vornimmt. Die Weitergabe des bearbeiteten Basis-Produkts bzw. der bearbeiteten Shopware Premium-Plugins ist unzulässig.
6. Nutzungsverbote
6.1. Jede über die nach Ziffern 4 und 5 erlaubte Nutzung hinausgehende Nutzung des Basis-Produkts oder Shopware Premium-Plugins ist unzulässig. Insbesondere ist es unzulässig, die Produkte ohne ausdrückliche Zustimmung der shopware AG zu verbreiten, zu vervielfältigen, zu vermieten oder öffentlich zugänglich zu machen.
6.2. Ziffer 6.1. schränkt nicht das Recht des Kunden ein, das Basis-Produkt oder – soweit sie Gegenstand des Vertrags sind – die Shopware Premium-Plugins nachträglich auf einem anderen Web- oder Datenbank-Server und einer anderen Domain zu nutzen („Umzug“). In diesem Fall erstellt ihm die shopware AG auf Anfrage und ohne zusätzliche Kosten einen neuen Lizenzschlüssel, mit dem der Kunde die Produkte auf dem neuen Web- oder Datenbank-Server freischalten kann. Der Kunde hat die Produkte auf dem Server, auf dem sie bisher genutzt wurden, zu löschen und diese Löschung gegenüber der shopware AG beispielsweise durch Abgabe einer Vernichtungserklärung nachzuweisen.
6.3. Alle sonstigen Eingriffe in die Produkte, wie z.B. Dekompilierung, Disassemblierung und Reverse Engineering sind unzulässig. Das gilt jedoch nicht für Veränderungen entsprechend Ziffer 5.
6.4. Die Nutzungsverbote dieser Ziffer gelten dann nicht, wenn Nutzungshandlungen durch gesetzliche Schranken, fair-use-Grundsätze oder andere Regelungen des Landes gestattet sind, in dem sich der Web- oder Datenbankserver befindet, auf dem das Basis-Produkt bzw. die Shopware Premium-Plugins genutzt werden.
7. Weitergabe der Produkte
7.1. Das Basis-Produkt und – soweit vom Vertrag erfasst – die Shopware Premium-Plugins sowie die nach den Ziffern 4 und 5 eingeräumten Rechte dürfen dauerhaft auf Dritte übertragen werden, wenn der Dritte diesen Nutzungsbedingungen zustimmt. Der Dritte ist zur Nutzung in demselben Umfang berechtigt, wie der Kunde es aufgrund des mit der shopware AG geschlossenen Professional-, Enterprise Business- oder Enterprise Cluster-Vertrags war.
7.2. Im Fall der Übertragung ist der Kunde verpflichtet, sämtliche auf den Web- oder Datenbank-Servern vorhandenen Kopien der Produkte zu löschen und diese Löschung gegenüber der shopware AG beispielsweise durch Abgabe einer Vernichtungserklärung nachzuweisen.
7.3. Die shopware AG erstellt für den Dritten auf Anfrage und ohne zusätzliche Kosten einen neuen Lizenzschlüssel, mit dem der Dritte die Produkte auf dem neuen Web- oder Datenbank-Server freischalten kann.
8. GEWÄHRLEISTUNG
8.1. DIE SHOPWARE AG ÜBERNIMMT NACH DEN GESETZLICHEN BESTIMMUNGEN DIE GEWÄHRLEISTUNG DAFÜR, DASS DAS DIE DEM KUNDEN ÜBERLASSENEN PRODUKTE BESTIMMUNGSGEMÄß FUNKTIONIEREN. DIE SHOPWARE AG ÜBERNIMMT JEDOCH KEINE GEWÄHRLEISTUNG FÜR DIE ERFOLGREICHE UMSETZUNG DES ONLINESHOPS DURCH DEN KUNDEN UND DEN ERFOLG DES MIT DEN PRODUKTEN UMGESETZTEN ONLINESHOPS. KEINE GEWÄHRLEISTUNG ÜBERNIMMT DIE SHOPWARE AG FÜR STÖRUNGEN, DIE AUF DEM VON DEM KUNDEN EINGESETZTEN INTERNET-ZUGANG BZW. INTERNETPROVIDER, DEM WEB- ODER DATENBANK-SERVER SOWIE AUF HARD- ODER SOFTWARE BERUHEN, DIE NICHT GEGENSTAND DES PROFESSIONAL-, ENTERPRISE BUSINESS- ODER ENTERPRISE CLUSTER-VERTRAGS SIND.
8.2. DIE SHOPWARE AG HAT DIE PRODUKTE SORGFÄLTIG DARAUF GEPRÜFT, DASS SIE FREI VON RECHTEN DRITTER SIND BZW. KEINE RECHTSMÄNGEL AUFWEIST. SOLLTE EIN DRITTER ANSPRÜCHE WEGEN ANGEBLICHER RECHTE AN DER SOFTWARE ODER WEGEN UNZULÄSSIGKEIT DES VERTRAGSGEMÄßEN EINSATZES DER SOFTWARE ERHEBEN, WIRD DER JEWEILS IN ANSPRUCH GENOMMENE VERTRAGSTEIL DIE ANDERE PARTEI HIERÜBER UNVERZÜGLICH INFORMIEREN. UNBESCHADET DER GESETZLICHEN GEWÄHRLEISTUNGSRECHTE IST DER KUNDE IN DIESEN FÄLLEN GEHALTEN, AUF AUFFORDERUNG DER SHOPWARE AG UNVERZÜGLICH DIE NUTZUNG DER PRODUKTE EINZUSTELLEN UND/ODER SIE VON DEN WEB- ODER DATENBANK-SERVERN ZU LÖSCHEN.
9. HAFTUNG
9.1. DIE SHOPWARE AG HAFTET NACH DEN GESETZLICHEN BESTIMMUNGEN FÜR SCHÄDEN DES KUNDEN, DIE VORSÄTZLICH ODER GROB FAHRLÄSSIG VERURSACHT WURDEN ODER DIE AUF EINER SCHULDHAFTEN VERLETZUNG WESENTLICHER VERTRAGSPFLICHTEN (SO GENANNTER KARDINALSPFLICHTEN) BERUHEN, DAS HEIßT SOLCHER VERTRAGLICHER PFLICHTEN, DEREN ERFÜLLUNG DIE ORDNUNGSGEMÄßE DURCHFÜHRUNG DES VERTRAGES ÜBERHAUPT ERST ERMÖGLICHT UND AUF DEREN EINHALTUNG DER VERTRAGSPARTNER REGELMÄßIG VERTRAUEN DARF, UND DEREN VERLETZUNG AUF DER ANDEREN SEITE DIE ERREICHUNG DES VERTRAGSZWECKS GEFÄHRDET. DIE SHOPWARE AG HAFTET AUßERDEM NACH DEN GESETZLICHEN BESTIMMUNGEN FÜR SCHÄDEN, DIE AUF DEM FEHLEN EINER ZUGESICHERTEN EIGENSCHAFT BERUHEN, DIE FOLGE EINER VON DER SHOPWARE AG ZU VERTRETENDEN VERLETZUNG DER GESUNDHEIT, DES KÖRPERS ODER DES LEBENS SIND, ODER FÜR DIE EINE HAFTUNG NACH DEM PRODUKTHAFTUNGSGESETZ VORGESEHEN IST.
9.2 . BEI VERLETZUNG EINER KARDINALPFLICHT IST DIE HAFTUNG – SOWEIT DER SCHADEN LEDIGLICH AUF LEICHTER FAHRLÄSSIGKEIT BERUHT UND NICHT LEIB, LEBEN ODER GESUNDHEIT BETRIFFT – BESCHRÄNKT AUF SOLCHE SCHÄDEN, MIT DEREN ENTSTEHUNG IM RAHMEN DER ERBRINGUNG VON LEISTUNGEN WIE DER VERTRAGSGEGENSTÄNDLICHEN LEISTUNGEN TYPISCHERWEISE UND VORSEHBARERWEISE GERECHNET WERDEN MUSS.
9.3. ABGESEHEN VON DEN IN DEN VORSTEHENDEN ZIFFERN GENANNTEN FÄLLEN IST DIE HAFTUNG DER SHOPWARE AG – GLEICH AUS WELCHEM RECHTSGRUND – AUSGESCHLOSSEN. DIE SHOPWARE AG HAFTET INSBESONDERE NICHT FÜR SCHÄDEN IM ZUSAMMENHANG MIT DEM VERLUST VON DATEN, SOWEIT DIE SCHÄDEN DURCH EINE REGELMÄßIGE UND VOLLSTÄNDIGE SICHERUNG ALLER RELEVANTEN DATEN DURCH DEN KUNDEN VERMIEDEN WORDEN WÄREN. DIE SHOPWARE AG HAFTET AUßERDEM NICHT FÜR SCHÄDEN, DIE ALLEIN DARAUS RESULTIEREN, DASS DER KUNDE VERTRAGSWIDRIG ÄNDERUNGEN AN DEN PRODUKTEN VORGENOMMEN HAT.
10. Datenverarbeitung
Die shopware AG legt hohen Wert auf die Einhaltung datenschutzrechtlicher Bestimmungen. Sie verwendet die vom Kunden mitgeteilten personenbezogenen Daten ausschließlich zur Durchführung der vertraglichen Verpflichtungen. Daten werden nicht an Dritte weitergegeben. Nähere Informationen finden Sie in der Datenschutzerklärung.
11. Schlussbestimmungen
11.1. Sollten einzelne Regelungen dieser EULA unwirksam sein oder werden, wird dadurch die Wirksamkeit der übrigen Regelungen nicht berührt.
11.2. Auf den Professional-, Enterprise Business oder Enterprise Cluster-Vertrag findet ausschließlich das Recht der Bundesrepublik Deutschland Anwendung. Die Geltung des UN-Kaufrechts und des deutschen Internationalen Privatrechts ist ausgeschlossen.
11.3. Ausschließlicher Gerichtsstand für alle sich aus oder in Verbindung mit dem Vertragsverhältnis ergebenden Ansprüche ist das Landgericht Düsseldorf.

0. Definitions.

"Copyright" also means copyright-like laws that apply to other kinds of works, such as semiconductor masks.

2. Basic Permissions.
